Subscription Plan Terms and Conditions
We offer two (2) kinds of Subscription Plans: Customized Subscription Plans and Small Business Starter Subscription Plans.
Customized Subscription Plans. Through a Customized Subscription Plan, we can provide legal services across multiple practice areas (e.g., corporate, franchise, and commercial real estate) or we can focus on services in a particular practice area. The pricing and monthly hour allocation for Customized Subscription Plans varies by plan.
Small Business Starter Subscription Plans. Through a Small Business Starter Subscription, we provide legal services only to small business clients who have been in business for less than two (2) years and three (3) or fewer owners. These plans are designed for young companies in need of ongoing legal guidance during their initial stages of business operations. There are three (3) tiers of Small Business Starter Subscription Plans: “Relationship,” “Foundation,” and “Progress.”
Exclusions. Unless otherwise specified in a plan, no Subscription Plan includes the following: (1) services in areas of law outside of the firm’s practice areas; (2) drafting and review of company policies and procedures; (3) revision of contracts or other documents in excess of five (5) pages; (4) litigation, arbitration, or mediation; (5) administrative enforcement proceedings and other quasi-judicial proceedings; (6) commercial real estate closings, (7) business sale or acquisition closings, and (8) costs and fees paid to third parties (e.g., payments to a Secretary of State or municipality).
Term. Subscription Plans have a minimum term of six (6) consecutive months. If a subscription is canceled before the end of six (6) consecutive months, all legal work performed under the plan will be charged at the firm’s then-standard hourly rates. The subscriber will be charged for the difference between our standard hourly charges and subscription plan fees paid during the subscription term.
Services Carryover. Any client request for work within the scope of a Subscription Plan that is received by NeboLaw less than seven (7) calendar days before the end of the month may be completed in the early part of the following month.
Pricing. If hours included in a subscription plan are used toward performing legal work that would otherwise be handled on a flat fee basis, the flat fee pricing will not apply. We will handle as much of the work as possible available in the subscriber’s Subscription Plan. Any additional hours required to perform the work – beyond what is included in the Subscription Plan for that month - will be charged at the discounted hourly rates applicable to the particular plan.
For example: A subscriber to the “Progress Plan” uses the five (5) hours included in the plan in a month to have a three (3) member operating agreement prepared for their limited liability company (LLC). The drafting of an LLC operating agreement is usually charged on a flat fee basis. The time NeboLaw needed to prepare the agreement was six (6) hours. The subscriber will be billed the monthly fee for the subscription plan plus one (1) additional hour at a 10% discount off of our standard hourly rates.
Payments. If the full six (6) month term is not paid in full at the commencement of the Subscription Plan, payments must be made through automatic deduction.
Modifications. These Terms and Conditions may change without notice. Subscription Plan pricing, inclusions and exclusions may change without notice as well, however, pricing changes will not be effective within an on-going six (6) month term. Additional terms and conditions will be specified in an engagement agreement between the client and the firm. No Subscription Plan or legal services associated therewith will commence until an engagement agreement is fully executed and initial payment is received.
